Xouple Platform Terms and Conditions
Effective date: March 2026
These Terms and Conditions constitute a legally binding agreement between you and Xouple for use of the website, mobile experiences, APIs, booking flows, payment facilitation, communication tools, and related services.
1. Platform Role and Scope
Xouple operates as a technology marketplace that facilitates discovery, booking, and communication between customers and independent vendors. Unless expressly stated in writing for a specific offering, Xouple is not the direct provider, organizer, employer, or operator of vendor-delivered services. Vendors remain solely responsible for service execution, staffing, quality, licensing, and legal compliance of their offerings.
2. Eligibility and Account Registration
You must be legally capable of entering into a binding contract under applicable law to use the platform. You agree to provide accurate, current, and complete information for registration, bookings, and support. You are responsible for maintaining confidentiality of login credentials and for all activities conducted through your account, whether authorized by you or not.
3. No Agency Relationship
Nothing in these Terms creates an employment, partnership, franchise, joint venture, or agency relationship between Xouple and any vendor. Vendors are independent third-party businesses and customers contract with those vendors for service performance.
4. Customer Obligations
Customers must review listing details, inclusions, exclusions, and cancellation terms prior to payment, provide accurate booking and contact information, and comply with lawful and reasonable instructions from vendors related to safety, access, and service execution. Any misuse of booking systems, fraudulent behavior, abuse, or unlawful conduct may result in immediate account action.
5. Vendor Obligations
Vendors are required to maintain all applicable registrations, permits, tax compliance, and safety standards. Vendors must honor confirmed bookings except where cancellation is permitted under policy or law, and are responsible for the conduct of their staff, subcontractors, and representatives.
6. Safety and Prohibited Conduct
Prohibited conduct includes, without limitation, harassment, threats, assault, sexual misconduct, stalking, hate conduct, extortion, fraud, fake bookings, manipulated reviews, payment abuse, and unlawful chargeback behavior. Xouple may suspend or terminate accounts, delist listings, block transactions, or freeze payouts where safety, fraud, or legal risk is identified.
7. Incident Reporting and Cooperation
Users must promptly report incidents with truthful details and available evidence. In emergency situations, users should first contact local emergency authorities. Users agree to cooperate with platform investigations, dispute handling procedures, and lawful governmental requests.
8. Bookings, Payments, and Fees
Bookings are considered confirmed only after successful payment authorization and system validation. Platform commissions, service charges, or related fees may be updated prospectively for future bookings. All applicable taxes and statutory levies remain payable as required by law.
9. Cancellations, Refunds, and Chargebacks
Refund decisions are governed by the cancellation policy applicable to the specific booking and by platform fee rules. Bank and payment network timelines may affect final refund settlement. Xouple reserves the right to recover losses or withhold payouts arising from fraudulent disputes, abusive chargeback patterns, or policy violations.
10. User Content and Reviews
Reviews, uploaded media, and other user content must be lawful, truthful, and non-defamatory. By submitting content to the platform, you grant Xouple a non-exclusive, worldwide, royalty-free license to host, display, moderate, and process such content solely for platform operations, compliance, support, and trust and safety purposes.
11. Intellectual Property
All platform software, brand assets, product design, and original content are protected by intellectual property laws. Unauthorized copying, scraping, reverse engineering, redistribution, or commercial reuse is prohibited.
12. Privacy and Data Use
Personal data is collected and processed in accordance with the Privacy Policy and applicable law. Xouple may share information with payment processors, infrastructure providers, compliance partners, and lawful authorities where required for platform operation, fraud prevention, legal compliance, or dispute resolution.
13. Disclaimer of Warranties
The platform is provided on an "as is" and "as available" basis, without warranties of uninterrupted availability, error-free operation, or guaranteed third-party service outcomes, to the maximum extent allowed by law.
14. Limitation of Liability
To the fullest extent permitted by law, Xouple shall not be liable for indirect, incidental, consequential, punitive, or special damages, nor for acts or omissions of independent vendors, customers, or third parties. Where liability cannot be fully excluded, Xouple's aggregate liability is limited to platform fees actually received for the disputed booking. Nothing in these Terms excludes non-excludable liability under applicable law.
15. Indemnity
You agree to defend, indemnify, and hold harmless Xouple from third-party claims, losses, penalties, damages, and reasonable legal costs arising from your breach of these Terms, misconduct, negligence, fraud, legal violations, or infringement of third-party rights. Vendors additionally indemnify Xouple for claims linked to service delivery, injury, tax non-compliance, regulatory action, and intellectual property disputes related to vendor operations.
16. Suspension, Delisting, and Termination
Xouple may suspend, restrict, delist, or terminate access for policy breaches, safety concerns, fraud risk, operational abuse, or legal non-compliance. Obligations that reasonably survive termination, including payment reconciliation, chargeback responsibility, indemnity, and legal cooperation, shall remain enforceable.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Parties agree to first attempt good-faith settlement of any dispute. If unresolved, disputes may be referred to arbitration in accordance with applicable Indian law, subject to the seat, venue, and jurisdiction provisions specified in platform policy and governing law.
18. Changes to Terms
Xouple may amend these Terms periodically to reflect legal, regulatory, operational, or product changes. Continued access or use of the platform after updated Terms become effective constitutes acceptance of the revised Terms.
